Notes for the use of the Fee Schedule Comparison Tables:

*1 Apostilling/Legalisation = Most banks now require proof of a company's veracity before opening up an account. In most cases, where a country is a signatory to the Hague Convention of 1961 an apostille will suffice but occasionally full court legalization may be required which costs more.

*2 = All listed jurisdictions require a Corporate Kit which includes - All appropriate company documents, first and transfer minutes, a certificate of non-trading, a certificate of incorporation, share certificates, combined registers plus a lever-style corporate seal.

*3 = Domiciliation includes the provision of a local registered office address for service of process and official mail together with a local agent in the appropriate jurisdiction - Required in all cases save where a client physically lives in a nominated jurisdiction. In such a case, there will be a €225.00 charge to cover our administrative charges plus any disbursements.

*4 = This is the annual fee for the provision of standard Nominee Corporate Directors and Shareholders. If individual nominee Directors and Shareholders are required there is an additional charge of €225.00 per person required. A charge of €45.00 (UK & Ireland only) is made for sending out all company documents and seals by registered mail. Alternatively collection can be made from our London office.

*5 = In most jurisdiction a Serviced Office Address can be provided including mail forwarding and message taking for the sum of €500.00 plus a €150 non-refundable deposit to cover time and disbursement charges.

*6 = Annual Fees are the domiciliation fee, government duties and serviced office fees if taken.

*7 = All Offshore Company Clients are required to complete a Standing Order per the Offshore Terms & Conditions

*8 = All fees listed may be subject to VAT depending on the location of the services and/or beneficial owner

*9 = If a Yearly General Power of Attorney is required the cost is an extra €150.00 Annually

*10 = LETTER OF WISHES - All SCF companies can select the 'Letter of Wishes' Option where-by Clients can provide specific instructions on who SCF should liaise with should a Client die or be rendered intellectually incapable .... This document must be witnessed by a notary or before a SCF Consultant and should deal with who and or what should benefit from the Offshore Company assets and/or be considered 'replacement' Beneficial Owners by SCF. Please request more details from your Consultant - Costs vary depending on the number of parties involved and the value/location of the assets but generally will vary between €1125.00 and €2250.00 + VAT. It should also be noted that whilst this is a once only set-up cost there will also be a provision to allow SCF to deduct any professional costs together with the standard maintenance fees of the Company after the demise of the Beneficial Owner, or if such is rendered intellectually incapable by an appropriate legal body.

BANKING OPTIONS


Opening up a bank account is now far more difficult than before 9/11 and in effect means that virtually all major clearing banks in the EU now want a licensed trust company (such as the SCF Group) to oversee corporate bank accounts where nominees are involved. To ensure protection for all parties transfers can normally only be made to pre-specified beneficiaries, for limited sums or, if neither applies, if co-signed/confirmed by the Company 'Protector' normally an SCF Accountant/Company Secretary.

Banking Option 1
- Employing no nominees and owning a company directly; this is the easiest method but directly links a company to you. This structure may not be suitable for all purposes and could potentially have negative tax consequences.

- Use a Company with licensed nominees to open up a bank account for your company with you known to the bank as the ultimate beneficial owner – A Consultant will advise on the best location depending on your requirements
